Regulators speak at NS3 on protecting consumers, working with industry

During the National Settlement Services Summit, four state regulators spoke about their efforts to work with industry members to educate consumers and each other on ways combat fraud and tackle other challenges being faced today.
Regulators have been increasing efforts to educate consumers on what title insurance is, how it helps them, and what it covers.

New York AG, major independent title agency reach no-poach agreement

New York Attorney General Letitia James announced an agreement with a major independent title insurance agency. The agency will pay $1 million for having illegal no-poaching agreements with its competitors.
The agreement raises the total amount secured from title companies and underwriters for illegal no-poach agreements to $9.25 million.

Senators introduce legislation to counter foreign acquisition of agricultural land

Sens. Joni Ernst (R-Iowa) and Debbie Stabenow (D-Mich.), members of the Senate Committee on Agriculture, introduced legislation to overhaul the current system that allows for foreign acquisition of agricultural land, which they say threatens American food security and national security.
In a release announcing the bill, they note the U.S. Department of Agriculture (USDA) states that foreign ownership and investment in U.S. agricultural and has nearly doubled in the last decade.

ALTA provides comments on FHFA proposed fair lending rule

The American Land Title Association provided comments on the Federal Housing Finance Agency’s notice of proposed rulemaking on Fair Lending, Fair Housing, and Equitable Housing Finance Plans. While supporting the push for transparency and accountability of Fannie Mae and Freddie Mac’s fair housing and fair lending compliance, it voiced concerns that Fannie Mae used the Equitable Housing Finance Plans for a title waiver proposal.

New York passes legislation to protect from deed theft

The New York legislature passed legislation to reform the state’s civil laws to provide more tools to prevent deed theft. The bill, drafted jointly with Attorney General Letitia James, is part of ongoing efforts to combat deed theft and keep New Yorkers in their homes.
The bill, introduced in the state Senate as SB 6577 and in the state Assembly as AB 6656, was introduced by Sen. Brian Kavanagh and Assembly member Helene Weinstein and awaits the governor’s signature.
The bill provides certain protections for victims of real property theft.

Utah adopts insurance bill regarding filing requirements, trust funds

Title insurer sues sellers for failing to pay off home equity lien

Years after the sale of a property in Silver Springs, Md., the title insurer for the buyers discovered a lien against the property due to the seller’s unpaid home equity loan. The insurer paid off the balance of the loan to release the lien. When the sellers refused to reimburse the insurer, the insurers filed suit. The sellers moved to dismiss the case.

Utah issues bulletin on notice of termination for cause

FundingShield releases Q2 wire fraud report

Florida man sentenced for wire, bank fraud

North Carolina Department of Insurance gets new senior deputy commissioner

Fannie, Freddie affordability initiatives lead to increased interest in AOLs

Attorney opinion letters (AOLs) may have been around in some form for a number of years, and Freddie Mac may have accepted loans with AOLs instead of title insurance policies for years, but the use of AOLs has garnered greater consideration in the last year following the government-sponsored enterprises’ (GSEs) efforts to make housing more affordable.

In Section 4702.3 of Freddie Mac’s Single-Family Seller Servicer Guide, Freddie Mac states that an attorney’s opinion of title is acceptable in lieu of a title policy if all of the following conditions are met without exception:
- “The opinion must be addressed to the seller and all successors in interest of the seller.
- “The opinion must provide the following statement: ‘We agree to indemnify you and your successors in interest in the mortgage/deed of trust opined hereto, to the full extent of any loss attributable to a breach of our duty to exercise reasonable care and skill in the examination of the title and the giving of this opinion.’
- “The opinion must be given by an attorney licensed to practice law in the jurisdiction where the mortgaged premises is located. The attorney must also be insured against malpractice in rendering opinions of title in an amount commonly prevailing in the jurisdiction, taking into account the volume of opinions rendered by the attorney.
- “The opinion must not take exception to survey matters. When the attorney’s opinion takes exception to survey matters, the seller must provide whatever information is required by the attorney to remove the exception. If the attorney will not issue the title opinion without a survey exception, Freddie Mac will not purchase the mortgage. In addition, the opinion must not be subject to any title exceptions other than those permitted under Section 4702.4.”

Current status of AOLs

While we have heard much about what Fannie Mae and Freddie Mac, the Department of Veterans Affairs (VA) and others will purchase, less is known about where or how attorney opinion letters (AOLs) are being used, who is providing them and who is using them.
Several companies have begun providing AOLs, particularly since Fannie Mae’s April 2022 announcement. Among them are Voxtur Analytics Corp., SingleSource Property Solutions, United Wholesale Mortgage and iTitleTransfer LLC.
Shortly after Fannie Mae’s announcement, Voxtur issued a release about its attorney opinion letter program.
“Voxtur AOL provides an attorney’s opinion of title backed by transactional liability insurance that follows the loan into the secondary market and is issued by AM Best A Rated carriers,” the release states. “Provided in partnership with established real estate law firms in the industry, this product allows lenders to offer a low-risk alternative to title insurance that supports Fannie Mae’s housing goals.”
The program was initially offered in select states through strategic partnerships with lenders and service providers. By September 2022, the company announced it rolled out its AOL program with multiple lenders and was available nationwide.

State considerations on attorney opinion letters

Since Fannie Mae made its announcement, there has been an increased interest in how attorney opinion letters (AOLs) operate in various states. Different states have various perspectives on how these new waves of AOLs should be performed and what they can cover.
“There are no limitations that would prevent the use of an AOL in any state as attorneys are permitted to issue legal opinions in all states,” said Stacy Mestayer, Voxtur chief legal officer. “From an economic perspective, some states do offer the opportunity for more savings to the consumer. The reason for that is that certain states have promulgated title insurance rates, which leads to higher title insurance rates in those states. Using an AOL in those states generally results in more savings for the consumer."
ACREL/ABA guidelines
On Jan. 15, 2003, the American College of Real Estate Lawyers (ACREL) Opinion Committee and the American Bar Association (ABA) Section of Real Property Probate and Trust Law Committee on Legal Opinions in Real Estate Transactions issued their Real Estate Opinion Letter Guidelines.
The guidelines discuss areas in which an attorney should and should not opine. Among other things, it states, “Because of the availability of title insurance, the existence of difficult factual issues, and the need for title searches beyond the capacity and expertise (and/or the scope of engagement) of most real estate attorneys, opinions requested as to the ownership of property, the effectiveness of the lien of security instruments or exceptions to or encumbrances on title to real property are inappropriate. Opinions as to the form of a mortgage or deed of trust necessary to create a lien against real property collateral and a recitation of the procedures necessary to perfect and provide record notice of such lien are, on the other hand, frequently given. Neither such a ‘form of documents’ opinion nor a general enforceability opinion implies a substantive title opinion, and no express disclaimer of such opinion is necessary.”

Coverage and coverage questions concerning AOLs

When it comes to what is included in a title insurance policy, many are familiar with the coverage. The new attorney opinion letters (AOLs) now on the market are a different story and many wonder what coverage is included.
Many are interested to know the basics of these AOL products.
“The coverage provided by an AOL can vary by provider,” said Stacy Mestayer, chief legal officer, Voxtur. “Our AOL was designed to provide comprehensive protection that is comparable to the protections provided by title insurance, while taking into account the ways in which title data and technology have evolved over the past 150 years since title insurance was created. The coverage underlying the Voxtur AOL covers the full amount of the loan and extends for the life of the loan. This coverage follows the loan into the secondary market, regardless of how many times it changes ownership. While certain coverage gaps may exist in other versions of the AOL, as the American Land Title Association (ALTA) has pointed out, those gaps have been accounted for in the coverage underlying the Voxtur AOL.
“The protections provided by the various versions of the AOL differ,” she continued. “Attorney opinion letters, in their traditional form, present certain risks because they may not be consistent from one to the next depending on this issuing attorney and coverage may not extend beyond the original recipient. There are also modern versions of the AOL that do not have comprehensive insurance coverage or that do not extend coverage to the borrower in a purchase transaction. These AOLs present their own risks. The Voxtur AOL was designed to protect against these risks, and to provide protection comparable to title insurance.”

Ex-employee sues under state antitrust statute after termination for poor sales

A former sales executive sued his former employer and the employer’s potential merging partner under the Cartwright Act, California’s antitrust statute, after being told there were limitations to how he could compete for the merging partner’s clients. He said the limitations caused him to lose sales commissions and ultimately be terminated. The merging partner was granted summary judgment and the former employee appealed.

New Jersey Gov. Phil Murphy announced the commissioner of the state’s Department of Banking and Insurance left her position to join the Judiciary as a judge of the New Jersey Superior Court. the department’s chief of staff became acting commissioner beginning June 27.
